1. Services
Vindicated Productions provides marketing services, creative production services, and related business support, which may include (but are not limited to):
Video editing and content production
Paid advertising strategy and management
Marketing consulting and performance optimization
CRM and automation implementation (including GoHighLevel systems)
Creative testing frameworks and campaign support
Specific deliverables, timelines, pricing, and scope are defined by written agreement, invoice, proposal, or documented communication for each client engagement.
2. No Guarantee of Results
While we work to improve performance and outcomes, you understand and agree that marketing results are not guaranteed. Advertising and digital marketing performance can vary widely based on:
Your offer, pricing, and market demand
Ad spend and platform behavior changes
Website conversion rates and technical setup
Sales process and follow-up
Competition and external economic factors
You agree that Vindicated Productions is not responsible for any lack of results, lost revenue, or business outcomes related to your marketing performance.
3. Client Responsibilities
To deliver services effectively, you agree to provide timely access and information when needed, including:
Business details, brand assets, and messaging
Access to relevant accounts (Meta, Google, websites, CRM, etc.)
Approval or feedback on creative and campaign changes
Accurate contact and billing details
Delays caused by missing information, delayed approvals, or inaccessible platforms may impact timelines and results.
4. Payment Terms
Unless otherwise agreed in writing:
Payments are due in full before work begins, or according to the agreed billing schedule
Monthly services are billed in advance
Late payments may result in paused work, delayed delivery, or service termination
If your payment fails or becomes overdue, Vindicated Productions may suspend services until your account is current.
All fees paid are non-refundable unless otherwise specified in writing.
5. Subscription / Recurring Services
If you purchase services billed monthly or on a recurring schedule, you authorize Vindicated Productions (or our payment processor) to charge your payment method automatically according to the plan you selected.
You may cancel recurring services by providing written notice at least 7 days prior to your next billing date, unless otherwise specified in your agreement.
6. Cancellations, Rescheduling, and Missed Calls
If you book a strategy call or appointment through our scheduling system:
You may reschedule with reasonable notice
Missed appointments may be forfeited
We may require a new booking if repeated no-shows occur
We reserve the right to refuse service to repeat no-shows or bad-faith users.
7. Intellectual Property
7.1 Our Materials
Any templates, frameworks, workflows, documents, training resources, and internal methods used by Vindicated Productions remain our intellectual property unless explicitly transferred in writing.
7.2 Client Assets
You retain ownership of your brand assets, ad accounts, and original materials you provide.
7.3 Produced Work
Unless otherwise agreed in writing, once payment has been made, you receive a license to use final delivered creative work for your business marketing purposes.
We reserve the right to display completed work in our portfolio unless the client requests confidentiality in writing.
8. Third-Party Tools and Platforms
We may use third-party tools including, but not limited to:
Meta Ads (Facebook/Instagram)
Google products
GoHighLevel
Email/SMS providers
Scheduling tools
Analytics tools
You understand that third-party platforms can change policies, pricing, rules, or functionality at any time. Vindicated Productions is not responsible for third-party outages or platform enforcement actions (including ad account restrictions).
9. Messaging (SMS) Terms
If you opt in to receive SMS messages from Vindicated Productions, you may receive messages such as:
Appointment reminders
Scheduling confirmations
Service updates and support communication
Message frequency varies based on your activity. Message and data rates may apply.
You may unsubscribe at any time by replying STOP.
For help, reply HELP.
We do not sell or share your phone number for third-party marketing.
10. Email Communications
If you submit your email address through our website or as part of a client relationship, you agree we may email you regarding:
Your service, account, or appointment
Updates and deliverables
Billing and administrative communication
Occasional marketing or educational content (if applicable)
You can unsubscribe from marketing emails at any time using the link in the email.
11. Confidentiality
We treat client information as confidential and will not intentionally disclose sensitive business data to outside parties, except where required to provide services or where legally required.
Clients agree to keep any internal pricing, strategies, or proprietary workflows shared by Vindicated Productions confidential unless permission is granted in writing.
12. Limitation of Liability
To the fullest extent permitted by law, Vindicated Productions will not be liable for:
Indirect, incidental, special, or consequential damages
Lost profits, lost revenue, or business interruption
Platform bans, ad account restrictions, or policy enforcement
Data loss or downtime from third-party systems
Our total liability for any claim related to services or website use will not exceed the total amount paid to Vindicated Productions in the 30 days prior to the claim.
13. Indemnification
You agree to indemnify and hold harmless Vindicated Productions from claims, damages, losses, or legal fees arising from:
Your business practices
Your ad content, offers, or customer promises
Your failure to comply with applicable laws or platform rules
Materials you provide that infringe on intellectual property rights
14. Termination
We reserve the right to refuse or terminate service at any time for reasons including:
Non-payment
Abusive behavior toward staff
Fraudulent activity
Violations of platform terms or applicable laws
Misuse of our systems or deliverables
If service is terminated, any outstanding balances remain due.
15. Changes to These Terms
We may update these Terms from time to time. Updates will be effective once posted on this page with a revised effective date.
16. Governing Law
These Terms are governed by the laws of the State of Ohio, unless and until Vindicated Productions formally relocates and updates governing jurisdiction on this page.
