Master Service Agreement — Vindicated Productions

Introduction
This Agreement (Agreement) is entered into between Vindicated Productions LLC (Service Provider) and the undersigned Client (Client).

Scope of Services
Services provided will be defined in the attached Service Package Agreement (Podcast Subscription, Per Episode Editing, Foundation5, or Ads Retainer).

Payment Terms

• Payment is due upfront or according to the subscription terms.
• Late payments may delay delivery.

Revisions

• Podcast Subscriptions: unlimited revisions, 1 day turnaround.
• Per Episode: 1 revision included.
• Custom Editing: revisions defined in project scope.

Ownership
Final deliverables belong to the Client once payment is made in full. Source project files remain property of Vindicated Productions unless otherwise agreed.

Turnaround

• Podcast editing: 2 to 4 business days.
• Custom services: timeline determined by scope.
• Expedited edits available for additional fee.

Travel Requirements
If a project requires travel outside of Northwest Ohio or Southeast Michigan, the Client agrees to cover all related travel expenses, including airfare, lodging, ground transportation, and meals. Travel arrangements will be pre approved by the Client before booking.

Travel Day Rate
Any day primarily spent in transit will be billed at a travel day rate of $___ per day. This rate accounts for time away from production and other client projects.

Mileage
Projects requiring driving outside of a 50 mile radius from Toledo, Ohio will be billed at the IRS standard mileage rate in addition to travel day rates where applicable.

Per Diem (Optional)
Instead of itemized receipts for meals and incidentals, Client agrees to a flat per diem of $___ per travel day.

Termination
Either party may terminate with 14 days written notice. Work completed up to termination will be billed accordingly.

Governing Law
This Agreement is governed by the laws of the State of Ohio.
